CREDIT BANK OF MOSCOW announces changes in its Supervisory Board

June 27, 2013 — Mikhail Kuznetsov became a member of CREDIT BANK OF MOSCOW’s Supervisory Board by resolution of the annual General Shareholders’ Meeting. In this capacity, Mr. Kuznetsov will represent two of the Bank’s shareholders: International Finance Corporation (IFC) and RBOF Holding Company I, Ltd. (100% owned by IFC Russian Bank Capitalization Fund belonging to the same group of companies as IFC).

Mr. Kuznetsov (Ph.D. in Economics) graduated from Samara State Economic University with a degree in management in 2001, was certified on finance and marketing at the Loyola Marymount University (USA), obtained the Institute of Directors (UK) Diploma in Company Direction, and the FCSM’s broker, dealer and asset manager certificate. He also took a certificate course in Schulich School of Business, York University, Toronto, Canada on Corporate Governance.

At various times, Mr. Kuznetsov held managerial positions in Aviacor, Lukoil-Volga, Promsviaz and International Finance Corporation (IFC). He also has board of directors experience with such companies as OMC, SG-TRANS, Partner-Invest, Volzhanka and IDGC.

Currently, Mr. Kuznetsov serves as an Independent Director on the board of OJCS «Russian meat products» and OJSC «Energosetproject». He is the CEO and managing partner of Corporate Development Advisers, and CEO of Association of Corporate Directors and Managers.

Mr. Kuznetsov participates in various corporate governance round tables, is an MBA program tutor of RANEPA (Corporate governance, Strategic Management), member of the Russian National Council for Sustainable Development Reporting at the Russian Union of Industrialists and Entrepreneurs (RSPP) and a member of National Register of Independent Directors of RSPP.

The annual General Shareholders’ Meeting re-elected the Supervisory Board as follows: William Forrester Owens, Richard Damien Glasspool, Genadi Lewinski, Nikolay V. Kosarev, Mustafa Boran, Andrew Sergio Gazitua, Vadim N. Sorokin, Roman I. Avdeev, Alexander N. Nikolashin, Vladimir A. Chubar, Anton R. Avdeev, Mikhail E. Kuznetsov. Sandy Vaci, who had earlier announced his resignation as Chairman of the Supervisory Board, left the Supervisory Board to ensure succession well before the planned IPO.

Thus, the annual General Shareholders’ Meeting resulted in the Supervisory Board having 12 members, of which 6 are independent directors, one is delegated by IFC and RBOF Holding Company I, Ltd. (Mikhail Kuznetsov) and one represents EBRD (Vadim Sorokin).
